Terms of Service
Last updated:
These Terms of Service ("Terms") govern the use of Dobletilde, the service operated by Code54 S.A. ("Code54", "we", "us"), by the businesses that subscribe to it ("Customers") and the people who use it on their behalf ("Operators"). By subscribing to or using the service, you agree to these Terms. If you accept them on behalf of a business, you confirm that you are authorized to bind it.
1. Who we are
CODE54 S.A., CUIT (Argentine tax ID) 30-71091460-1, with its registered address at Ortiz de Ocampo 3302, Ciudad Autónoma de Buenos Aires, Argentina, develops and operates Dobletilde. You can reach us at contact@dobletilde.com.
2. What Dobletilde is
Dobletilde is a software-as-a-service (SaaS) product that works as a unified order inbox. It receives the orders that a Customer's buyers and sales reps send by WhatsApp or email (text, voice notes, photos, PDFs or spreadsheets), turns them into structured orders, and delivers them to the systems the Customer sets up, such as its ERP, a webhook or a spreadsheet. The features available depend on the plan the Customer subscribes to and may change over time.
3. For businesses only
We provide Dobletilde only to businesses, shops and professionals, for their commercial activity. We do not offer it to consumers. To open an account we may ask for your company and tax details, and we may decline to open one.
4. Accounts and Operators
- The Customer chooses which Operators can access the dashboard. Operators sign in with their Google or Microsoft account.
- The Customer is responsible for making sure its Operators follow these Terms, for removing access from anyone who should no longer have it, and for all activity carried out from its accounts.
- If you notice unauthorized access, tell us right away at contact@dobletilde.com.
5. WhatsApp and email
- To receive orders by WhatsApp, the Customer connects its own WhatsApp Business account through Meta's WhatsApp Business Platform. The phone number remains the Customer's.
- The Customer must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and Meta's other policies, including getting any consent required to message its contacts.
- Meta may limit, suspend or change access to its platform, or change its terms and prices. Those decisions are outside our control and may affect the service.
- The Customer may only connect email accounts it has the right to use.
6. AI processing
- Dobletilde uses artificial intelligence providers to transcribe voice notes, interpret images and extract the details of each order, as described in our Privacy Policy.
- Results are generated automatically and may contain mistakes, such as a misread product, a wrong quantity or a misidentified buyer. Orders the system cannot interpret with enough confidence are flagged for review, but the Customer is responsible for reviewing orders before invoicing them, shipping them or entering them permanently in its systems.
- We do not guarantee that automated interpretation is accurate or complete, and we are not liable for the consequences of orders processed without review.
7. Acceptable use
When using Dobletilde, you agree not to:
- use it for unlawful purposes or to send spam or unsolicited messages;
- process information you are not entitled to process;
- try to access other Customers' accounts or data, or break or bypass the service's security measures;
- copy, resell or reverse engineer the service, or use it to build a competing product;
- overload the service or interfere with how it works.
8. Pricing, billing and non-payment
- The plan, scope, billing period, currency, prices, and payment terms are set out in the commercial proposal or purchase order we agree in writing with each Customer (the "Commercial Proposal"). Unless stated otherwise, prices do not include VAT.
- Subscriptions are billed in advance for each period and renew automatically until the Customer cancels.
- We may change prices with at least 30 days' notice. The new price applies from the next billing period.
- If an invoice remains unpaid 15 days after its due date, we may suspend the service until it is paid.
- Periods already paid for are non-refundable, unless the law requires otherwise.
9. Customer Data
- The messages, orders, catalogs and other information the Customer uploads or receives through Dobletilde ("Customer Data") belong to the Customer.
- The Customer authorizes us to process Customer Data only to provide, maintain and secure the service, including sending it to the subprocessors listed in the Privacy Policy. For this data, we act as a processor on the Customer's behalf.
- The Data Processing Addendum, which forms part of these Terms, governs the processing of Customer Data. If there is a conflict concerning data protection, that Addendum prevails.
- The Customer is responsible for having a legal basis to process its contacts' data, giving any required notice, and ensuring that destinations it configures —such as its ERP, webhook, spreadsheet, or Google Drive— can lawfully and securely receive Customer Data.
- The Customer must not use Dobletilde to process sensitive data or children's data unless it is strictly necessary, it has a valid legal basis, and it has given us documented instructions and appropriate safeguards.
- The Privacy Policy is part of these Terms.
10. Intellectual property
Dobletilde, including its software, design, trademarks and documentation, belongs to Code54. For as long as its subscription lasts, we grant the Customer a limited, non-exclusive, non-transferable license to use the service in its business. If you send us suggestions or feedback, we may use them freely to improve the service, with no obligation to compensate you.
11. Beta features
We may offer features labeled as beta or preview. They are optional, may contain errors, may change or be discontinued at any time, and are provided without any warranty.
12. Availability and changes to the service
We make reasonable efforts to keep Dobletilde available, but there may be interruptions for maintenance, failures, or causes outside our control, such as Meta, AI providers, infrastructure or connectivity. We may change, add or remove features. If a change significantly reduces what the Customer subscribed to, we will give reasonable advance notice.
13. Limitation of liability
- The service is provided "as is" and "as available", with no warranties other than those expressly stated in these Terms.
- To the extent permitted by law, Code54 is not liable for lost profits, lost sales, lost data, loss of goodwill, or indirect damages.
- Code54's total liability to the Customer is limited to the amount the Customer paid for the service in the 12 months before the event giving rise to the claim.
- Nothing in this section limits liability for willful misconduct or gross negligence.
14. Indemnification
The Customer will indemnify and hold Code54 harmless from third-party claims arising directly from: (a) the Customer's use of Dobletilde in breach of these Terms or applicable law; (b) Customer Data or Customer instructions that infringe a third party's rights; or (c) the Customer's breach of Meta's policies.
Code54 will notify the Customer without unreasonable delay of any such claim, allow the Customer to control the defence, and reasonably cooperate at the Customer's expense. The Customer may not settle a claim in a way that admits Code54's liability or imposes obligations on Code54 without our prior written consent, not to be unreasonably withheld. This obligation does not apply to the extent a claim is caused by Code54's breach of these Terms or the Data Processing Addendum.
15. Term, cancellation and suspension
- These Terms apply for as long as the Customer uses the service. The Customer may cancel at any time by writing to us, and the cancellation takes effect at the end of the period already paid for.
- We may suspend or close an account for breach of these Terms or of Meta's policies, or for non-payment. Except in urgent cases (a security risk, an order from an authority, or a request from Meta), we will give notice first.
- After cancellation, the Customer has 30 days to request an export of the Customer Data available in Dobletilde, including structured orders and associated metadata. The export will be provided in a reasonably usable format. After that, we delete or anonymize Customer Data as described in the Privacy Policy and the Data Processing Addendum.
- The sections on Customer Data, intellectual property, limitation of liability, indemnification and governing law continue to apply after cancellation.
16. Changes to these Terms
We may update these Terms. We will post the current version on this page with its update date. If a change is significant, we will notify Customers by email at least 30 days in advance. Continuing to use the service after that date means you accept the new version.
17. Governing law and jurisdiction
These Terms are governed by the laws of the Argentine Republic. Before bringing any claim, the parties will try to resolve it in good faith by email. If they cannot, they submit to the ordinary courts of Ciudad Autónoma de Buenos Aires, waiving any other jurisdiction.
18. General provisions
- These Terms, the Commercial Proposal, the Privacy Policy, and the Data Processing Addendum are the entire agreement between the parties. If the Commercial Proposal conflicts with these Terms, the Commercial Proposal prevails, except that processing of Customer Data is governed by the Data Processing Addendum.
- If any provision is found invalid, the rest remains in effect.
- Not exercising a right at a given time does not mean waiving it.
- The Customer may not assign these Terms without our written consent. Code54 may assign them to a successor to its business.
- Notices sent by email are valid for all purposes under these Terms.
- If the Spanish and English versions differ, the Spanish version prevails.
